Toast Local Partner Program Terms & Conditions

Effective for Qualified Referrals (as defined below) submitted on or after October 21, 2024.

These Terms and Conditions (the “Terms”) apply to Toast’s Local Partner Program (the “Program”). By submitting a referral for a restaurant or otherwise participating in the Program, you agree to be bound by these Terms, the Toast Terms of Service, and Toast’s Privacy Statement.

Program Eligibility

Who is Eligible to Participate?

Local consultants, investors, and professionals in the United States who refer a US restaurant to Toast for point of sale and payment processing services (“POS services”) through the online referral form or in writing, including by email, to a Toast Account Executive may be eligible to receive a $500 bonus payout.

Who is Not Eligible to Participate?

  • If you are a Toast employee or restaurant customer, please refer to our Toast Referral Program Terms & Conditions available here. This program is specific to Local Partner Advocates.
  • Employees of Toast technical integration and strategic partners with existing referral programs, including their immediate family and household members;
  • Toast employees within the Sales organization, including their immediate family and household members;
  • Employees of an authorized Toast reseller, including their immediate family and household members;
  • Restaurant owners, operators, or decision-makers responsible for making the POS purchasing decision referring their own restaurants;
  • Franchisors responsible for making the POS purchasing decision referring their own franchisees; and
  • Individuals who are under 18 years old.

 

Referral Requirements

Subject to these Terms, for each “Qualified Referral” that meets the following criteria, you will receive the applicable Bonus Payout listed below. A “Qualified Referral” is a restaurant that:

  • You refer to Toast either through the online referral form, or in writing, including by email to a Toast Account Executive;
  • is not an existing lead in the Toast system; and
  • enters into a Merchant Agreement Initial Order Form with Toast for POS services, and has been live, processing transactions on the Toast platform for at least seven days.

Verbal referrals will not be accepted.

Toast reserves the right, in its sole discretion, to determine the original lead source. Exceptions may be made, in Toast’s sole discretion, if the referral has not been contacted by Toast for at least six (6) months.

 

Bonus Payouts

Referrers may be eligible to receive a bonus payout for a Qualified Referral as set forth herein (the ”Bonus Payout”). Eligible Local Partner Advocates (e.g. consultants, investors, and professionals) may be eligible to receive a bonus payout of $500 for each Qualified Referral.

The Bonus Payout for a restaurant brand or group will be as follows. A restaurant brand or group is defined as either a franchise group or corporate entity and its affiliates (each “Restaurant Group”). For the first location in a Restaurant Group, the referrer may be eligible to receive the full Bonus Payout as set forth above ($500). For the second through the fifth locations in a Restaurant Group, the referrer may be eligible to receive a Bonus Payout of $250 total. For the sixth through the fifteenth location in a Restaurant Group, the referrer may be eligible to receive a Bonus Payout of $500 total.

Toast will determine, in its sole discretion, whether a referral is a Qualified Referral eligible for a bonus payout and reserve the right to disqualify any referrer at any time for any reason from participation in the Program for reasons including but not limited to Toast’s good faith belief that referrer has violated these terms. Subject to the terms herein, there is no limit to the number of referrals an individual can submit, or eligible bonus payouts for Qualified Referrals an individual may receive, while the Program is in effect. Each Bonus Payout will be made by direct deposit. Referrer must enroll in the Toast Local Partner Program Portal (“Partner Portal”), and provide a W-9 and ACH information, in order to receive the Bonus Payout and timely payment of the Bonus Payout is dependent on timely enrollment in the Referral Portal. Referrer is solely responsible for reporting and remitting all taxes in connection with any amounts received in connection with Toast’s Local Partner Program.

If a referrer does not enroll in the Local Partner Portal and provide the information requested in the Portal to receive a Bonus Payout (or supplemental Bonus as described below) within 30 days of Bonus Payout generation, the referrer shall not receive a Bonus Payout for that Qualified Referral.

 

Local Partner Advocate Status

There are three tiers of status for those who participate in Toast’s Local Partner Program. You must be enrolled as an Advocate in the Local Partner Portal to participate. Subject to these qualifications for each tier:

  1. Starter: Local partner who has less than 3 Qualified Referrals live on Toast.
  2. Premier: Local partner who has 3+ Qualified Referrals live on Toast per year (evaluated annually).
  3. VIP: Local partner who has 10+ Qualified Referrals live on Toast per year (evaluated annually).

 

Limited Time Offers
With respect to each Restaurant Group, for any Qualified Referral submitted between October 21, 2024 and October 31, 2024, local consultants, investors, professionals and friends in the United States are eligible for a supplemental bonus payout of $1000 per Qualified Referral (as defined above), in addition to the Bonus Payout as set forth above for each Qualified Referral. To receive this supplemental Bonus, each Qualified Referral must enter into a Merchant Agreement Initial Order Form with Toast for POS services, and go live, processing transactions on the Toast platform for at least seven days on or before January 31, 2024. This is a non-transferable, limited time offer subject to change. Toast reserves the right to suspend, modify, or cancel this offer at any time.
 

Modifications

Toast reserves the right to modify these Terms or terminate the Program at any time, in its sole discretion, without notice. These Terms are governed by the laws of the Commonwealth of Massachusetts.
